Struttura e forma del "pactum fiduciae" nella ricostruzione delle Sezioni Unite (Cass., sez. un., 6 marzo 2020, n. 6459)

Per quanto concerne la forma del patto fiduciario, alla luce della recente decisione delle Sezioni Unite, si deve operare una distinzione tra gli effetti prodotti all’interno del programma fiduciario. La forma libera del patto trova un limite qualora il patto implichi un obbligo di trasferire beni immobili e si voglia assicurare la coercibilità del patto, ritenendo il requisito formale definito non dell’atto in sé ma dagli effetti che l’atto è destinato a produrre. Infine, a proposito della struttura del patto fiduciario, si ritiene che il requisito formale può dirsi soddisfatto anche da una struttura unilaterale, in applicazione dell’art. 1333 c.c.The work addresses the problem of the form of the fiduciary agreement in light of the recent decision of the United Sections, distinguishing the effects it produces within the fiduciary program. The free form of the agreement is limited if the agreement implies an obligation to transfer real estate and you want to ensure the coercibility of the agreement, considering the formal requirement defined not by the act itself but by the effects that the act is intended to produce. The work also addresses the issue of the structure of the fiduciary agreement, believing that the formal requirement can also be said to be satisfied by a unilateral structure, in application of art. 1333 of the Italian Civil Code.
