The essay deals with the Consob regulation about disclosure obligations and conduct of business rules concerning intermediaries supervised by the securities authority in the distribution of insurance-based investment products. Generally, this regulation is in compliance with the corresponding legislation regarding intermediaries subject to IVASS supervision. Therefore, such a legal framework is aligned to a cross-sectorial regulatory approach due to the progressive blurring of boundaries among financial products and channels of distribution and, consequently, devoted to preventing potential regulatory arbitrages and guaranteeing a level playing field for different kinds of intermediaries and the same degree of investors’ protection regardless of financial product manufacturer and distributor.
Il saggio si occupa della disciplina regolamentare Consob in materia di obblighi informativi e presidi comportamentali che ricadono sugli intermediari dalla stessa vigilati nella distribuzione di prodotti di investimento assicurativi. Tale disciplina, di derivazione comunitaria, si allinea tendenzialmente all’omologa normativa applicabile ai soggetti sottoposti a vigilanza IVASS, in omaggio a un approccio regolativo cross-settoriale imposto dalla progressiva attenuazione dei confini tra prodotti finanziari e tra canali di distribuzione degli stessi e, dunque, finalizzato a prevenire potenziali arbitraggi regolamentari e a garantire parità di trattamento a intermediari di diversa natura e lo stesso livello di protezione degli investitori indipendentemente dal soggetto emittente e dal canale di distribuzione del prodotto finanziario.
