In the recently published decision no. 17986 of 2019, the Italian Supreme Court held that in the event of extinction of a capital company, following the cancellation from the Register of Companies, if the sole shareholder subsequently dies, his heirs may continue the tax litigation, with an ex tunc amnesty of all procedural defects. The continuation of the tax litigation by the heirs, moreover, involving the implicit renunciation to receive an autonomous notice of assessment provided by Art. 36, para. 5, Presidential Decree no. 602/1973, leads to the presumption of the distribution in their favour of part of the assets obtained from liquidation. At first glance, this approach does not convince and leaves open various interpretative and applicative issues.
In una recente pronuncia, la n. 17986/2019, la Corte di Cassazione ha ritenuto che nel caso di estinzione della società di capitali, a seguito della cancellazione della stessa dal registro delle imprese, ove il socio unico successivamente deceda, gli eredi di questi possono proseguire il giudizio, con sanatoria ex tunc di tutti i vizi processuali. La prosecuzione del giudizio da parte degli eredi, inoltre, in quanto comporta l’implicita rinuncia a ricevere l’autonomo avviso di accertamento previsto dall’art. 36, comma 5, D.P.R. n. 602/1973, fa presumere l’avvenuta distribuzione in loro favore di parte dell’attivo ricavato dalla liquidazione. Ad una prima ricognizione, questo orientamento non convince e lascia aperte numerose questioni interpretative ed applicative.
